Discount Partner Agreement

These Discount partner Terms and Conditions (the “Agreement”) shall constitute an Agreement between you (“You” or “Discount Partner”) and Nagadhat Bangladesh Limited (hereinafter referred to as (the “Company”) for to offer a certain percentage of discount on different products or services provide by you. The Discount Partner and the Company shall collectively be referred to as the “Parties” and individually as the “Party”.

The Discount partner must read, agree to, and accept all of the terms and provisions contained in this Agreement, by clicking “I Accept” button, and the Parties hereby agree, acknowledge and accept that clicking such button shall instantly form a valid, effective and legally binding agreement for good consideration between the Parties.

This Agreement constitutes the complete and exclusive statement of the agreement of both the Parties with respect to the subject matter of this Agreement, and supersedes all prior oral and written commitments, understandings, and communications between the Parties regarding such matter. The Discount partner is moving with this service to increase it’s sale and branding.

    1. Role and responsibilities of the Discount Partner;
  1. Discount Partner will declare a certain percentage of discount on it’s products render to the Company’s  customers;
  2. These discounts will be treated as special discount for the company’s customers.

 

    1. Role and responsibilities of the Company;
  1. Company or Nagadhat Bangladesh will allow you to use company’s digital platform for Branding and other sales offer.
  2. Company or Nagadhat Bangladesh can arrange a campaign for discounted sale for a certain period to boost up your sales and promotion.
  3. Company or Nagadhat Bangladesh can use you or discount partner’s logo and other digital resources without any copyrights issue for it’s digital platform.
  1. Principles:
    1. Accountability and Transparency: Both parties will be fully accountable to one another concerning the compliance of organizational policies standards and procedures and therefore, will be open and proactive in sharing information.

2.2 Trust: There must be good relations between people at all levels across the both parties and must be open and honest in sharing information promptly and in all activities with stakeholders.

2.3 Equality:  Both parties will ensure that no one will dominates this project and that, although each party may not be equal in power, resources and influences, both parties have valid contributions and equal right to be heard.

  1. Accountability Standards and Compliances:

Nagadhat Bangladesh or company is committed to the highest possible standards to openness, transparency and accountability in all affairs and wishes to promote a culture of honesty and opposition to fraud in all its forms.

  1. Relationship of Parties:

 This Bilateral agreement is collaboration between the parties hereto. Any party to this bilateral agreement will perform its work as required under it as an independent body and not as an agent to the other. Neither party is authorized to act as an agent or representative of the other or to permit the other party to enter into any contract or incur any obligations or liabilities for the other party, nor to commit the other party in any manner.

  1. Termination:

Each party shall have the right to terminate this agreement by giving 03 (Three) months’ written notice. If-

  • Any parties cannot maintain commitment and good cooperation.
  • The other party is in persistent breach of any of its obligations under this bilateral agreement. These infringements cannot be resolved, or the other party has failed to correct violations within 03(Three) months of receiving written notice from either party.

One party lacks cooperation and support from the other.

  1. Indemnity/Release of Warranty or Liability:

One party in the agreement will be in no way liable for the acts, deeds, default and negligence of other parties, their employees, agents, contractors, volunteers, workers and visitors. Each party shall ensure that if it follows all applicable laws while implementing the project under this agreement.

  1. Confidentiality:

Any information, documents, software, technology, data, manuals and other materials which relate to the respective party, its activities, business, funding or associated companies or foundations or trust etc. (“confidential information”) and all copies thereof supplied by the parties or prepared, gathered or otherwise obtained by any party will remain the property of that party. Other party will keep that information confidential. This information will be used solely for the benefit of intended service recipients. None of the parties will transfer or divulge personal information to any other person or organization.

  1. Obtaining prior written consent from the respective party who owns the information, or
  2. The data is already in the public domain or
  3. The law requires disclosure law

 

  1. Governing Law and Dispute Settlement:

The law of Bangladesh shall govern this bilateral agreement. Any dispute related to this agreement which cannot be resolved mutually and amicably within 30(thirty) days will be referred to arbitration. This arbitration shall be conducted by a tribunal of 02 9two) arbitrators. Each party shall appoint an arbitrator. The arbitration proceeding shall be conducted in Bengali. The arbitration proceeding will be shown as per Arbitration Act 2001.

 

  1.  Amendment:

The parties agree to make necessary amendments to this Bilateral agreement should a review indicate that it is required to achieve the objectives under this Bilateral agreement. To that end, the parties will instigate:

  • Any modifications/ alterations will be mutually discussed and agreed upon in writing
  • Other updates as and when required.

 

  1. Force Majeure:

If either party fails to perform its obligations or delays performance under this Agreement due to causes beyond its reasonable control, including but not limited to war, fire, blockade, strikes (excluding strikes by its personnel), pandemic, national lock-down or natural catastrophe. That party shall not be held responsible for any loss or damage the other party may incur due to such failure or delay.

 

  1. Duration of the Bilateral agreement:

This Bilateral agreement is valid for 01 (one) year from the date of accepting.
